Menzies LLP and DMH Stallard advise leading UK environmental design firm as it joins a major international group

The corporate finance team at accountancy firm, Menzies LLP, and law firm, DMH Stallard, have advised the award-winning environmental design consultancy, Atelier Ten, as it joins a global urban and infrastructure consulting group headquartered in Singapore.

The London-based firm, which specialises in environmental engineering, has joined Surbana Jurong Group as a member company, expanding its global assembly of design and engineering specialists. The move will further strengthen the Group’s expertise in sustainable design and development and underline its position as an international consulting powerhouse.

Over the past 30 years, Atelier Ten has grown from a small London studio into a consultancy, with more than 300 employees spanning 11 offices worldwide in the US, UK, Australia and Singapore. Among its most famous projects, Atelier Ten was responsible for the design of the Gardens by the Bay in Singapore and the National Theatre in London. The consultancy has also been working with Surbana Jurong for more than a decade on successful collaborations in Singapore, including Jewel Changi Airport.

Led by corporate finance director, Kevin Paget, Menzies LLP advised on all the corporate finance aspects of the transaction, including valuation metrics, negotiation of the offer and terms, deal structure and calculating/negotiating the free cash and net working capital position. Led by Surrey-based partner, Helen Mead, law firm DMH Stallard supported on the legal aspects of the transaction, including assistance with a group reorganisation and liaising with an extensive global shareholder group, including a Swiss corporate shareholder and several subsidiary shareholders.

Kevin Paget, corporate finance director at Menzies LLP, said: “It was a pleasure to work with the Board and Shareholders of Atelier Ten, advising them through this complex cross-border transaction.”

Helen Mead, partner at DMH Stallard, said: “This collaboration creates a leading global consultancy in urban and infrastructure development with a shared vision for a sustainable built environment and developing climate change solutions.”

Patrick Bellew, Principal at Atelier Ten said: “We see this union with Surbana Jurong Group as a fantastic opportunity to build upon the successful growth we have enjoyed in the past 30 years. Working with Surbana Jurong and other members of the Group we can extend our influence and mission to be a global force for good in the drive towards a more sustainable world. The synergies and opportunities that joining this group presents for the team here at Atelier Ten, and for our clients and collaborators are enormous.

“DMH Stallard, led by Helen, have been amazing to work with. I have really appreciated their calmness, the clarity of advice and the professionalism that the team has shown in guiding us through this complex process.”

Warren McCumiskey, Finance Director at Atelier Ten commented: “Menzies’ experience and expertise helped guide us through very complex and detailed negotiations. Their insight and ability to hone in on the value added areas was invaluable. To have Menzies on hand to identify key negotiation positions was paramount for us to get the right deal. On behalf of the Board and shareholders, our sincere thanks go out to Kevin Paget, Ross Wiggins and the Menzies team.”
